What goes into a board pack?

A typical pack has a one-page summary, P&L and balance sheet against budget and prior year, cash and runway, the KPIs your board tracks, a narrative from the founder, and an appendix with detail. We draft everything except the founder's voice, and keep the layout identical each period so directors read faster.

How do you handle loan covenants?

We read the covenant definitions in your agreement, build a worked schedule for each ratio, calculate it from the reconciled ledger each period, and show headroom against the limit. If any covenant is trending toward its limit we flag it 30 days ahead so you can talk to the bank early rather than after a breach.

Can you produce the compliance certificate my bank requires?

Yes. We draft the certificate in the bank's format with the supporting calculations attached, and you sign it. We do not sign on your behalf and we give no assurance opinion. If your facility has a borrowing base, the monthly borrowing-base certificate is built the same way.

Do you write the investor update narrative?

We write a first draft that explains the numbers: what moved, why, and what is expected next. You add the product, hiring and market commentary in your own voice. Most founders spend under an hour editing rather than a weekend building.

What happens if our books are not reconciled?

The pack waits, because a covenant calculated from unreconciled figures is worse than a late one. We would run a catch-up bookkeeping project first, then start the reporting cycle from the first clean month. Our month-end close service keeps the books on the calendar afterwards.

Can you keep our data room current for diligence?

Yes. After each close we update the financial folders in your data room: statements, reconciliations, aged receivables and payables, payroll summaries and tax filings. When a buyer or new investor asks for something, most of it is already there. Requests we cannot fill from the ledger go on an open-items list with an owner and a date.

Do you give investment or fundraising advice?

No. We report what the numbers say and deliver the packs on time. Valuation, fundraising strategy, deal terms and legal matters are for your advisors.
